Terms and Conditions for the Use of the Website

OLGA GUDYNN INTERNATIONAL SCHOOL (OGIS)

Introduction and Identification of the Parties

This document sets out the terms and conditions for the use of the website www.olgagudynn.ro (the “Website”).
The operator of the Website is OLGA GUDYNN INTERNATIONAL SCHOOL (“OGIS”), a private educational institution, with its registered address in Bucharest, Sector 2, 8 Ancuța Băneasa Street.

1. Acceptance of the Terms. Versions and Amendments

1.1. By using the Website, including by accessing, browsing or submitting information through the available forms, you declare that you have read, understood and fully accepted these Terms and Conditions. For flows involving active interactions, OGIS may request the explicit ticking of an acceptance box, acceptance through the interface, for example by means of a dedicated banner, or re-acceptance in the case of substantial amendments.
1.2. OGIS may amend the Terms and Conditions in order to reflect legislative changes, Website functionalities or OGIS practices. Amendments shall enter into force from the date of publication on the Website, with active notice for substantial amendments, for example through a banner on the Website and, where users’ contact details are available, by email. Continued use of the Website after the publication of the amendments constitutes acceptance of the updated version.
1.3. You are advised to review this consolidated version periodically. You may print and keep a copy of the Terms and Conditions. Any previous version is repealed and replaced by the present version from the date of entry into force.
1.4. Date of entry into force: 7 May 2026.

2. Purpose of the Website and Nature of the Information

2.1. The Website and the materials available on it are for general information purposes only and do not constitute exhaustive recommendations or advice for decision-making. Before entering into any contract based on information available on the Website, you should request complete information from the relevant entity or person.
2.2. OGIS is not responsible for information provided by third parties in relation to such contracts.

3. Access, Availability and Maintenance

3.1. OGIS uses reasonable endeavours to keep the Website available; however, given the nature of the internet, uninterrupted availability cannot be guaranteed. Maintenance may lead to temporary unavailability; where possible, maintenance work will be carried out outside peak hours, minimising interruptions.

4. User Code of Conduct

4.1. When using the Website, you undertake:
4.1.1. not to disrupt, interfere with or restrict the use of the Website by other users;
4.1.2. not to upload, display or transmit false, offensive, defamatory, threatening, obscene or unlawful materials, or materials that infringe the rights of any persons; by transmitting such materials, you waive any moral rights over them, to the extent permitted by law;
4.1.3. not to reverse-engineer, decompile, copy or adapt the software/code of the Website; not to transmit viruses, worms, Trojan horses or other destructive components;
4.1.4. not to send spam or unsolicited correspondence unrelated to OGIS activities by using the addresses available on the Website;
4.1.5. not to modify, delete, alter or misuse data entered by or relating to other users of the Website.
4.2. You are responsible for using reasonable IT protection measures, such as antivirus software and updates, as well as a secure internet connection while using the Website.
4.3. Breach of this Code of Conduct may result in the suspension or termination of access and in the obligation to compensate OGIS for losses caused by such breach, within the limits permitted by law.

5. Intellectual Property Rights

5.1. OGIS is the exclusive holder of the intellectual property rights over the content of the Website, including articles, texts, photographs, illustrations, audio-video materials, trademarks, emblems and designs.
5.2. The reproduction, distribution, publication, modification, sale or creation of derivative works from the content of the Website is prohibited without the prior written consent of OGIS.
5.3. Printing extracts for personal, non-commercial purposes is permitted, as is making a temporary copy for viewing in the browser application, without any right of distribution.
5.4. All other rights are reserved.

6. Links to Third Parties and Third-Party Content

6.1. The Website may include links to third-party websites. OGIS does not guarantee and is not responsible for the content or availability of such websites.
6.2. Opinions expressed through message forms or other channels by third parties do not necessarily represent the position of OGIS.

7. User-Generated Content, Where Applicable

7.1. If the Website allows users to post content, you grant OGIS a non-exclusive, free-of-charge, territorially unlimited licence to use, reproduce, distribute and communicate that content to the public for the purpose of operating and promoting the Website.
7.2. OGIS may moderate, remove or restrict access to content that breaches these Terms, third-party rights or the law. We implement notice-and-takedown mechanisms upon receipt of substantiated notifications.

8. Personal Data Protection

8.1. Data processing is carried out in accordance with Regulation (EU) 2016/679 (GDPR) and the OGIS Privacy Policy, which describes the legal bases for processing, purposes, recipients, retention periods and the rights of data subjects. Please consult the Privacy Policy available through the Website.
8.2. For special categories of data, where applicable, OGIS shall use an appropriate legal basis under the GDPR and, where necessary, shall obtain explicit, informed and separate consent, without relying on the mere use of the Website.

9. Limitation of Liability and Exclusion of Warranties

9.1. Use of the information on the Website is at your own risk. To the fullest extent permitted by law, all warranties, express or implied, including fitness for a particular purpose, quality or performance, are excluded.
9.2. To the extent permitted by law, OGIS shall not be liable for indirect or consequential losses, loss of profit, loss of opportunity or loss of data arising from the use of, or inability to use, the Website. This clause does not limit any liability that cannot be excluded by law.
9.3. The uninterrupted availability of the Website is not guaranteed; interruptions may occur due to maintenance or external factors, as set out in section 3.

10. Indemnification

10.1. You agree to indemnify OGIS for any direct damage caused by breach of these Terms and Conditions, to the extent permitted by law.

11. Force Majeure

11.1. Neither party shall be liable for failure to perform its obligations caused by a force majeure event, as defined by law, provided that the other party is notified and reasonable endeavours are made to limit the effects.

12. Assignment

12.1. OGIS may assign, transfer or delegate its rights and obligations under these Terms to affiliated or successor entities, in compliance with applicable law. You may not transfer your rights/obligations without the prior written consent of OGIS.

13. Notices and Communications

14. Applicable Law and Jurisdiction

14.1. These Terms and Conditions are governed by Romanian law. Any dispute arising out of or in connection with these Terms shall be submitted to the competent courts of Romania, with material and territorial jurisdiction being determined in accordance with the general rules of law.
14.2. If you are a consumer, this clause does not affect the rights granted by consumer protection legislation, including special jurisdiction rules.

15. Severability

15.1. If any provision of these Terms is deemed null, void or unenforceable, the remaining provisions shall continue to have effect, and the affected clause shall be interpreted so as to reflect as closely as possible the original intention of the parties, within the limits of the law.

16. Entire Agreement

16.1. These Terms and Conditions, together with the Privacy Policy and any complementary policies published on the Website, constitute the entire agreement between the parties regarding the use of the Website, replacing any previous version.

17. Waiver

17.1. Failure or delay in exercising a right or remedy does not constitute a waiver; a waiver is valid only if made in writing.

18. Survival of Certain Clauses

18.1. The clauses regarding intellectual property, limitation of liability, indemnification, applicable law and jurisdiction, severability and interpretation shall continue to have effect after the termination of these Terms.

19. Order of Precedence

19.1. In the event of any inconsistency between the Terms and a specific policy, for example the Privacy Policy, the special provisions of that policy shall prevail for the matters it expressly regulates.
